# Agent Terms

**Effective October 18, 2026.**

These Agent Terms (“Agent Terms”) govern the use of Laso Finance services by software agents, including AI agents, acting for a Principal. They supplement the [Cardholder Agreement](https://laso.finance/user-agreement) and our Terms of Service. If these Agent Terms conflict with the Cardholder Agreement or the Terms of Service, these Agent Terms control for Agent Activity. Everything not addressed here is governed by those agreements.

## 1. Definitions

- **Agent** means software, including an AI agent, that accesses our services and initiates actions without a person approving each action in real time.
- **Principal** means either (a) a natural person who is at least 18 years old and has legal capacity to enter into contracts, or (b) a legally formed business entity in good standing, acting through an individual authorized to bind it.
- **Agent Activity** means anything an Agent does with our services, including creating an account sign-up link, depositing funds, ordering, funding, and using Cards, and calling any of our APIs.
- **Agent Interfaces** means the programmatic interfaces we publish for Agents: the x402 API at laso.finance, our MCP server, the agent wallet, and the SDKs, plugins, and skills we document at docs.laso.finance.

## 2. An Agent Always Acts for a Principal

An Agent cannot hold an account, be a cardholder, or accept any agreement on its own behalf. Every account, and every Card ordered by an Agent, belongs to the Principal the Agent acts for. An Agent that is not acting for a Principal may not use our services, and no product or agreement permits it to.

A Principal authorizes an Agent, and accepts these Agent Terms, by doing any of the following: completing an Agent’s sign-up link, signing in through the agent dashboard or guided agent setup, approving an Agent’s access to an account through an authorization screen, issuing API credentials to an Agent, or funding a wallet or account an Agent uses with our services. When an Agent accepts any agreement or makes any attestation through an Agent Interface, it does so on behalf of its Principal, and the Principal is bound as if the Principal had accepted it directly.

A Principal that is a business entity represents that the individual who authorized the Agent has authority to bind it.

## 3. What an Agent May Do

**Automated access.** Notwithstanding the restriction in Section 3(a) of the Cardholder Agreement on Cards obtained, funded, or used through automated means, an Agent acting for a Principal may obtain, fund, and use Cards through the Agent Interfaces. That restriction continues to apply to automated access through any other means, including scripting or scraping our web or mobile apps, and to any automation not acting for a Principal.

**Business purchases.** Notwithstanding the restriction in Section 3(a) of the Cardholder Agreement on business or commercial use, a Card obtained through an Agent Interface may be used for the Principal’s lawful personal or business purchases, such as software, API usage, advertising, hosting, and supplies.

**Everything else still applies.** All other restrictions in the Cardholder Agreement apply to Agent Activity without change, including the prohibitions on redeeming a Card for cash, transfers of value, illegal transactions, prohibited industries, trial churning, and creating multiple accounts or identities, as well as the spend limits, prohibited regions, and account suspension terms.

## 4. Agent Actions Are the Principal’s Actions

- Using an Agent is the same as the Principal using our services directly. We treat every action an Agent takes as an action the Principal took personally, and the Principal is responsible for all Agent Activity, including purchases the Principal did not anticipate or review.
- We are not responsible for how an Agent behaves. We have no liability for any loss, cost, or damage arising from an Agent misunderstanding, ignoring, or inaccurately carrying out the Principal’s instructions, from an Agent’s errors, malfunctions, or fabricated output, or from the conduct of the Agent’s developer or provider. We will not reverse, refund, or credit a transaction on the ground that an Agent should not have made it.
- A transaction an Agent initiates with credentials, a wallet, or an account the Principal provided is an authorized transaction. It is not an unauthorized transaction under Section 6 of the Cardholder Agreement, even if the Agent acted outside the Principal’s instructions.
- The Principal is responsible for keeping API credentials and wallet keys secure, for setting any spending limits on the Agent, and for revoking an Agent’s access when it should end. Report compromised credentials to support@laso.finance immediately.
- The Principal must make sure the Agent complies with these Agent Terms and the Cardholder Agreement.
- The Principal agrees to indemnify, defend, and hold harmless Laso Finance, its officers, directors, employees, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from Agent Activity.

## 5. Identity Verification

Some products require identity verification before use. For an individual Principal, the Principal verifies themselves. For a business entity, we may require verification of the entity, its authorized representative, and its beneficial owners. Verification must be completed by the Principal personally. An Agent may request a verification link and check its status, but it must never fill in a verification form, submit identity information or documents on anyone’s behalf, or provide invented or borrowed identity details. Doing so is a material breach of these Agent Terms.

Whether a product requires verification at the time of an order is described in our documentation. We may require verification for any product, account, or Principal at any time, and may suspend Agent Activity until it is completed.

## 6. Eligibility

A Principal must not be located in, a citizen or resident of, or (for a business entity) formed or headquartered in any region listed in Section 12 of the Cardholder Agreement, and must not be subject to sanctions. Each Card product is intended for use in the region corresponding to its card type, and individual products have their own country availability, which an Agent can read from `GET /get-supported-countries`.

## 7. Card Issuers, Fees, Funding, and Refunds

- Cards ordered through an Agent Interface are the same Card products offered in our apps and carry the same issuer terms. Where a Card product is also governed by its card issuer’s own cardholder terms, those terms are presented or linked when that product is ordered and apply to that Card.
- Agent Activity is charged the same fees as the same product in our apps. Current fees, minimum and maximum amounts, and limits for each product are published at laso.finance/fees and returned by `GET /get-pricing`.
- Refunds of unspent Card balances follow the Cardholder Agreement. If a payment reaches us but an order cannot be fulfilled, the amount remains in the Principal’s Laso Finance account balance, where it can be used for another order or withdrawn.

## 8. Suspension

We may limit, suspend, or revoke any Agent’s access, any API credentials, or the Principal’s account at any time, including where we believe an Agent is not acting for an eligible Principal, is circumventing verification, or is otherwise violating these Agent Terms or the Cardholder Agreement.

## 9. Changes and Contact

We may update these Agent Terms by posting a new version at laso.finance/agent-terms (readable as text at laso.finance/agent-terms.md) with a new effective date. Continued Agent Activity after that date means the Principal accepts the update. Questions from people go to support@laso.finance, and questions from Agents go to agents+support@laso.finance.
